Our Basic Approach to Compliance

The J Trust Group has established the “Group Compliance Regulations” to ensure compliance with laws and regulations and other social rules in Japan and overseas. In addition, the Group has set up a Compliance and Risk Management Committee and appointed Compliance Officers, and implements group-wide initiatives to promote a compliance-oriented mindset and prevent compliance violations throughout the Group.

Compliance Structure

The J Trust Group positions compliance as the foundation of all risk management and has established the Compliance and Risk Management Committee to enhance its internal compliance framework. The Compliance and Risk Management Committee is composed of officers and employees appointed by the Chairperson, a role held by our Representative Director and President. The Committee is, in principle, convened once every quarter and deliberates on matters including the determination of policies and measures related to compliance and risk management in the management and operations of the Group, recommendations for corrective actions and improvements in the event of violations of laws, regulations, or internal rules, and the establishment, revision, or abolition of rules related to compliance and risk management, including the Code of Ethics, corporate philosophy, and principles of conduct. In addition, by maintaining a system under which matters deliberated by the Committee are reported to the Board of Directors, the Group strives to ensure thorough compliance and risk management.

Compliance Awareness Activities

The J Trust Group positions compliance as the foundation of all risk management and has established internal regulations related to compliance. In addition, the Group has developed the “Group Compliance Manual,” which summarizes key matters requiring particular attention in the conduct of business, and works to enhance and ensure compliance awareness. The manual explains topics such as basic principles, the compliance framework, respect for human rights, prevention of harassment, prevention of insider trading, and anti-corruption, and is made available for all employees to access at any time in order to promote understanding and awareness of compliance. The manual is posted on the Group’s internal intranet and is operated in a manner that allows all employees of domestic Group companies to access it at any time. For overseas Group companies, the Group has established a dedicated website and provides certain Group regulations, including the “Group Compliance Regulations,” in English, Korean, and Indonesian, making them accessible to all employees at any time. In addition, training on laws and regulations to be complied with in the course of business operations is conducted at each Group company.
To regularly verify the Group-wide status of compliance with laws and regulations and the effectiveness of ethical standards, officers and employees are required to submit a compliance checklist on a monthly basis. The compliance checklist is designed to enhance compliance awareness by encouraging individuals to review and assess their own awareness and conduct across approximately 20 items, including attitudes toward corruption-related matters such as insider trading and entertainment and gifts, as well as information management practices related to personal and confidential information and password management.

Prohibition of Bribery and Corruption

The J Trust Group stipulates, in its “Group Compliance Manual,” the prohibition of excessive entertainment and gifts. Specifically, we do not give or receive gifts or entertainment that exceed socially accepted norms in our dealings with customers and business partners. In addition, the Group does not provide any gifts, entertainment, or similar benefits to public officials or quasi-public officials under any circumstances. Furthermore, the Group does not, with any improper intent, provide, request, or promise any other benefits or advantages, not limited to money, gifts, or entertainment.

Anti-Corruption Initiatives

The J Trust Group is committed to preventing corrupt practices, including bribery and insider trading, in accordance with its “Group Compliance Manual.” Information on the status of compliance, including corrupt practices, is collected from each Group company on a quarterly basis and reported to the Compliance and Risk Management Committee. In addition, as part of reports on the execution of business operations to the Board of Directors, the minutes of the Compliance and Risk Management Committee are submitted to the Board. In the event of a material violation, the Board of Directors will deliberate on the matter as necessary. In addition, to prevent corruption, the Group provides employees with regular compliance training, including the prevention of insider trading, in order to promote awareness.
In the course of daily operations, the Group conducts risk assessments of corrupt practices, including bribery and insider trading, and collects and analyzes identified risk information. For businesses determined to be high-risk, the Compliance and Risk Management Committee reviews and discusses appropriate countermeasures and implements suitable risk mitigation measures.
The Group also conducts due diligence on counterparties with respect to bribery and corruption risks when entering into new transactions or making investments.

Compliance Reporting and Consultation Hotline

Based on the “Group Compliance Regulations” and the “Group Compliance Manual,” the Group has established a compliance reporting and consultation hotline available to all officers and employees as a channel for reporting any compliance violations, suspected compliance violations, or other matters related to overall corporate ethics, including corrupt practices such as bribery and insider trading. The compliance reporting and consultation hotline includes both an internal reporting and consultation channel within the Group (the Corporate Ethics Hotline) and an external hotline operated outside the Group and handled by attorneys. It may be used on either a named or anonymous basis. The Group strictly protects the privacy and confidentiality of the reporting or consulting individual, including their name and other information, and ensures thorough protection so that no disadvantageous treatment is imposed on any individual for making a report or consultation regarding compliance violations or related matters.

Responding to Compliance Reports and Consultations

As noted above, the Group’s whistleblowing hotline is operated by the Internal Control and Audit Office, and, in principle, matters reported or consulted through the hotline are investigated by its staff to verify the facts. Investigation results are either referred to the disciplinary committee of the relevant company or fed back to responsible executives and other relevant parties, with each company taking measures to prevent recurrence. In addition, this reporting and consultation hotline is accessible to employees at both domestic and overseas offices, and this is communicated through the “Group Compliance Manual” and other relevant documents.
