Conditions for Appointment of Directors and Audit & Supervisory Board Members

On the occasion of naming candidates for Directors and Audit & Supervisory Board Members when conducting flexible and rapid business development, the Company does not have a set policy because the personnel conditions which the Company seeks are varied. In order to achieve the goals in the business plan, the Company considers both the candidate`s prior work history and experience when making a selection. Moreover, if a definitive standard is determined to be necessary in the course of future business development, the Company will engage in discussion as it sees fit.

Conditions for Appointing Outside Directors and Outside Audit & Supervisory Board Members

The Company receives outside knowledge independent from management by appointing four of its twelve Directors and two of its three Audit & Supervisory Board Members from outside the company. The team of independent Outside Directors which the Company has appointed consists of a lawyer familiar with corporate law, a former member of the National Police Agency who possesses a wide breadth of knowledge regarding such matters as crisis management including the eradication of criminal organizations, and an experienced bank executive who has been involved with solutions for internal control systems at banks. The Outside Audit & Supervisory Board Members, whose roles are to monitor management, are a former employee of the Ministry of Defense and a former employee of a financial institution.

Reasons for Appointments of Directors and Audit & Supervisory Board Members

Roles and Responsibilities to each person as follows.

Nobuyoshi Fujisawa[Representative Director, President & Chief Executive Officer]

Mr. Fujisawa possesses experience cultivated in a wide variety of fields and abundant knowledge as a company manager. The Company has appointed him after deciding that he could contribute to further growth and to an increase in medium and long term company value through his leadership as Representative Director and President of the company which led the to Company`s Group growth as well as his ability to make decisions and take action which are demonstrated by his achievements.

Nobuiku Chiba [Representative Senior Managing Director, Executive Officer]

Mr. Chiba is familiar with all of the Company`s operations including those of the Senior Managing Director of the Company, a position which he himself serves. He contributes greatly to the Group`s management, serving in positions such as representative for one of the Group`s Indonesia-based corporations. Therefore, the Company has appointed him after deciding that he could take the reins of the Group`s overall management.

Nobiru Adachi [Senior Managing Director, Executive Officer]

Mr. Adachi is familiar with all of the Company`s operations including those of the Senior Managing Director of the Company, a position which he himself serves. He contributes greatly to the Group`s management, serving in positions such as representative for one of the Group`s Indonesian-based corporations. Therefore, the Company has appointed him after deciding that he could utilize his global and diverse viewpoints, based on his abundant experience and knowledge, to contribute to management.

Ryuichi Atsuta [Managing Director, Executive Officer]

Mr. Atsuta possesses abundant experience and advanced knowledge about the Company's business activities through his service as an executive in charge of the Finance Department. The Company has appointed him after deciding that he can executive his tasks sufficiently.

Taiji Hitachi[Director, Executive Officer]

Mr. Hitachi possesses abundant experience and advanced knowledge related to the business activities of the Company through his service as Accounting Department Manager. The Company has decided that he will perform his job sufficiently.

Yukihiro Nishikawa [Director, Executive Officer]

Mr. Nishikawa possesses abundant experience and advanced knowledge related to the business of the company through his services as an executive in charge of the Legal Department. The Company has appointed him after determining that he can execute his tasks sufficiently.

Yoshihide Iimori [Director, Executive Officer]

Mr. Iimori possesses abundant experience and advanced knowledge related to the Company's business activities through his services as an executive in charge of the Human Resources and General Affairs Department. The Company has appointed him as a Director after determining that he can execute his tasks sufficiently.

Fumio Iguchi [Director, Executive Officer]

Mr. Iguchi possesses a wide breadth of knowledge relating to work in financial institutions and internal auditing duties which was cultivated through his many years of experience. Furthermore, as a full-time Audit & Supervisory Board Member at the Company since June 2017, he actively gives his opinions and suggestions and helps increase the Company’s corporate value. Based on these achievements, the Company has appointed him after determining that he is fit to serve as Director.

Norio Igarashi [Outside Director]

Mr. Igarashi possesses abundant experience and advanced knowledge, having worked as a lawyer in corporate law after holding important positions such as Special Investigation Department Manager at the Tokyo Public Prosecutors Office and Prosecutor at the Supreme Public Prosecutor`s Office. Therefore, the Company has appointed him with the expectation that it can receive input and instructions beneficial to its business. Furthermore, Mr. Igarashi has no experience contributing to the management of the Company in any way aside from being an Outside Executive, but the Company has appointed him after determining that he can execute his tasks sufficiently as Outside Director due to the aforementioned reasons.

Ryuji Mizuta[Outside Director]

Mr. Mizuta possesses abundant experience and a wide breadth of knowledge regarding such matters as crisis management including the eradication of criminal organizations, having worked important jobs in succession at the National Police Agency. Therefore, the Company has appointed him with the expectation that it can receive input and instructions beneficial to its business.

Masanori Kaneko [Outside Director]

Mr. Kaneko possesses abundant experience and a wide variety of knowledge as an executive at SAIKYO BANK CO. Therefore, the Company has appointed him with the expectation that it can receive input and instructions beneficial to its business.

Masami Ishizaka[Outside Director]

Mr. Ishizaka has abundant experience and knowledge related to corporate management, having held key successive positions such as Director-General of the Finance Bureau at the Ministry of Finance, and Administrative Vice Minister for Environmental Affairs, then as an Outside Director and Outside Corporate Auditor for listed corporations. Therefore, the Company has appointed him with the expectation that it can receive input and instructions beneficial to its business.

Hideki Yamane[Full-Time Outside Audit & Supervisory Board Member]

The Company has appointed Mr. Yamane after determining that it could receive proper auditing in regards to the management of its entire Group through input and advice from an objective viewpoint, based on his auditing and practical work experience cultivated over many years at financial institutions.

Masato Inoue[Audit & Supervisory Board Member]

The Company has appointed Mr. Inoue after determining that it could receive managerial supervision and pertinent advice due to his varied and advanced knowledge and abundant experience cultivated as a manager for many years.

Takaaki Kojima[Outside Audit & Supervisory Board Member]

Mr. Kojima possesses advanced knowledge related to international affairs, economics and culture which was cultivated at the Ministry of Foreign Affairs as well as abundant experience from serving key roles such as Ambassador Extraordinary and Plenipotentiary. Because of this, the Company has appointed Mr. Takaaki as Audit & Supervisory Board Member after determining that it could receive proper auditing in regards to the management of its entire Group through input and advice from an objective viewpoint.
